Just relax. It's not that big a deal when you really think about it. That guy's not going to be bigger or better than you, and if you really wanted to, you could probably hook up with her too. But you're friends. She's got a life and so do you. You don't want to just fuck one person, and neither does she.

Jealousy is not only powerfully uncool and unattractive, but it's also completely pointless. Sex is a fun activity that you can attach as little or as much meaning to as you want. So don't make it into something it's not. If she wants to fuck someone else, then who cares? Go out and live your life rather than resenting someone else for living theirs.

What exactly is the dilemma here? So a girl you have a crush on hooked up with someone... yeah that sucks, but she certainly didn't do anything wrong. She's just living her life, and you should too. You said yourself that you haven't even shown that you're into her. You're getting one-itis for a girl you haven't even been with.

I'm not sure I have a chance and not sure I want one anymore.

So if you're still into her, ask her out. If not, stop thinking about her, move on, and go get another, even better girl.
