Consider what exactly? I met my girlfriend around exams periods and she said she couldn't go on a date because of that. She asked me to keep in touch and go out after we finish exams. I would text her every weekend for a little chat for about a month and then we went out.

If she didnt give u an actual reason why then it's a no. Move on.

If you didn't know each other, I personally wouldn't like going out on Valentine's Day for the 1st time. It's just a bit much for a 1st date.

If you knew each other, but you were only friends and never flirted. Then, maybe she doesn't know if she likes you more than a friend, and she doesn't wanna risk losing the friendship. Again, Valentine's Day makes it more serious.
